According to China’s Partnership Enterprise Law, partnership enterprises are divided into limited partnership enterprises and unlimited partnership enterprises. Regardless of the type, a partnership enterprise is a special form of business organization composed of multiple partners. A partnership enterprise is neither a company nor a legal entity. Its advantages are twofold: first, the relationship between the partners and the partnership enterprise is not an employment relationship. Second, it is not required to pay corporate income tax. Its disadvantages are also twofold: first, there must be at least one general partner who assumes unlimited joint liability for the partnership enterprise.
